FAQ
Frequently asked questions about DMTR, private markets infrastructure, and integration.
What is DMTR
Q: What is DMTR?
DMTR (Dark Matter) is programmable infrastructure for private market ownership, transfer, and lifecycle management. It extracts ownership state from documents into a canonical Position Object and makes ownership transitions executable through the Registry, Rights Engine, and Identity Graph.
How is this different from cap-table tools
Q: How is DMTR different from cap table tools?
Cap table tools focus on equity ownership within a single company—typically startups and their cap tables. DMTR focuses on fund and SPV positions: LP interests, SPV LLC interests, and other vehicle-layer ownership. DMTR handles transfer restrictions, consent chains, encumbrances, and cross-vehicle workflows that cap table tools do not model.
Do I need to be accredited
Q: Do I need to be accredited to use Dark Matter?
Dark Matter is infrastructure; it does not determine who may invest. Accreditation requirements are governed by the underlying investments and applicable securities law. The Identity Graph tracks accreditation status for compliance and transfer eligibility, but DMTR itself does not enforce accreditation—that is the responsibility of issuers and licensed partners.
What programming languages are supported
Q: What programming languages are supported?
DMTR exposes a REST API and supports any language that can make HTTP requests. Official SDKs are available for TypeScript, Python, and Go. Community SDKs may exist for other languages. See the SDKs section for details.
Is there a sandbox
Q: Is there a sandbox?
Yes. DMTR provides a sandbox environment for development and testing. Sandbox uses separate API keys and base URLs. It supports synthetic data and simulated transfers. See Environments for setup and usage.
How do transfers work
Q: How do transfers work?
Transfers flow through the Rights Engine, which evaluates restrictions (lockup, ROFR, consent_required, blackout, regulatory), consent chains, and eligibility. The Identity Graph pre-clears participants. Once all conditions are satisfied, the Registry records the mutation. See Rights Engine and Transferability for details.
