Ownership vs Custody
Critical distinction between beneficial ownership and custody in private markets, and how Dark Matter models both.
Overview
Beneficial ownership and custody are distinct concepts. Beneficial ownership is the economic interest in an asset; custody is the holding of the asset or its documentation on behalf of the owner. In private markets, the distinction is critical for compliance, transfer mechanics, and regulatory treatment.
Beneficial ownership
Beneficial ownership is the right to the economic benefits of an asset—distributions, proceeds, voting (where applicable). The beneficial owner is the allocator in Dark Matter. The Registry records beneficial ownership. Custody does not change beneficial ownership.
Custody
Custody is the physical or digital holding of assets or related documents. A custodian holds on behalf of the owner but does not own the asset. Custody arrangements are separate from the Registry's ownership record. Custodians may integrate with Dark Matter to reconcile holdings.
Why the distinction matters in private markets
In private markets, ownership is often documented in agreements and cap tables; custody may be with fund admins, transfer agents, or custodians. Confusion between the two leads to operational errors and compliance issues. Regulatory requirements differ: custody triggers additional rules (e.g., custody rule); ownership does not.
⚠ Custody ≠ Ownership
Confusing custody with beneficial ownership is a common source of errors. The custodian holds the asset; the allocator owns it. Transferring custody does not transfer ownership, and vice versa.
How Dark Matter models both
Dark Matter models beneficial ownership in the Registry. Custody is modeled as a separate dimension: a position may have a custodian attribute or link to a custody record. The Registry remains the source of truth for beneficial ownership; custody metadata supports reconciliation and reporting. Integrations with custodians use this separation.
